I have late 2010 11 MBA (macbookAir3,1). It has the 1.4hgz, 2gb ram logic board. Can I swap it out with the 1.6hgz, 4gb board without any problems and would it be worth the upgrade. I can get a board for around $150

As long as the logic board is from the same series (macbookAir3,1) you won't have any issues as the mounts and connections are the same. If you are trying to swap out with a different series all bets are off!
Follow this IFIXIT guide: MacBook Air 11" Late 2010 Logic Board Replacement. I would recommend cleaning and replacing the thermal paste on the CPU & GPU units on your new logic board.
